No. OEM licenses are specifically designed to perform only clean
installations, so that OEM Vista CD could not perform an upgrade. (A
retail license could.)

No, it's not. The fact that the XP version is not relevant, but the fact
that Vista is OEM *is*. OEM versions can not do upgrades.

1. Buy an Upgrade copy of Vista Business and upgrade with it.
2. Buy a Full copy of Vista Business and upgrade with it.
3. Clean install the OEM copy of Vista Business.

It should be doable, judging by this chart:
radepaths.mspx>
If the above link is broken, go here:

OEM versions of Vista (and XP) do not have an in-place upgrade capability.
You can load the OEM version, but you will be required to wipe the disk
clean, losing everything that was on it before loading the new OS.
On the other hand... if you purchase the "upgrade" version of Vista
Business, it will work fine for an in-place upgrade from XP Pro. I did it.

And it's a very good thing for anyone contemplating upgrading to Vista to
run.

Computer techs are like everyone else. They have the same part of the
anatomy that goes with the old saying, "opinions are like a******s;
everybody has one."
I am also a computer tech, and I'll tell you what my experience has been.
I've been running Windows Vista Ultimate RTM on this computer for nearly
three months, and it's been extremely stable. I haven't had a single problem
with it.
That's not to tell you or anyone else what to do. What you do with your
computer is your own choice and doesn't involve me at all. Nevertheless I'm
happy with Vista here.

Personally, I intend to install Vista (Ultimate) only when it gets
closer to the release of SP1. By then, I believe most of the
starting-out problems will be ironed out (such as unsupported drivers
and other made-for-XP software that simply won't run on Vista. And even
then, I intend to buy it for my next yet-to-be-built-and-configured PC.

Likely so given the hardware would need to be upgraded or replaced
before it would handle Vista capably.
